Job Summary:

We are seeking Corporate Counsel to join the Corporate Legal Team at our Broomfield office. Among the opportunities presented to the attorney in this role are collaborating cross-functionally to provide legal and administrative support to the Corporate Legal Team with SEC filings and compliance, finance and strategic development projects, materials for board and shareholder meetings, subsidiary management, and other governance related matters. This attorney will take a critical and detail-oriented eye to improving and optimizing all aspects of our daily work and legal operations. A high level of professionalism, integrity, and discretion in handling sensitive and confidential information is essential.

 

Job Specifications: 

  • Starting Wage: $140,000.00 - $155,000.00 + annual bonus

Job Responsibilities:

  • Support the Corporate Legal Team with required disclosures and corporate and securities filings, such as proxy statements, section 16 filings, quarterly reports, current reports, and annual reports.
  • Provide legal support on finance projects, such as capital markets and other debt transactions and strategic development projects, such as partnerships and mergers and acquisitions.
  • Lead entity management processes and documentation, such as dissolution and formation, registration, governing documents, stock certificates, IRS forms, DBAs, and foreign qualifications.
  • Draft and maintain director and officer slates, entity list and organization chart, minute and board books, and other corporate records.
  • Prepare and facilitate various corporate governance compliance functions.
  • Build cross-functional relationships throughout the company and partner with various departments, such as tax, finance, marketing, strategic development, litigation, environmental and social responsibility, and investor relations.
  • Manage relationships and coordinate work product with outside service providers and outside legal counsel, as needed, to support the Corporate Legal Team.
  • Partner with chiefs of staff and other key stakeholders to support our board of directors and executive committee.
  • Manage projects, research, fact gather, draft, proofread, prepare presentations and analysis to support the Corporate Legal Team.
  • Prioritize appropriately and keep multiple teams and projects on track simultaneously.
  • Proactively initiate, lead, and complete workstreams independently.
  • Handle other duties as may be assigned from time to time.

 

Job Requirements:

  • Bachelor’s degree and JD from an ABA accredited law school required.
  • Active state bar license required. A successful applicant must also have or qualify for a Colorado single-client bar license (or full Colorado bar license).
  • At least 3 years of relevant legal experience.
  • A high degree of knowledge agility, with a demonstrated ability to learn new areas of law and business.
  • Clear and concise communication skills (written and oral), including the ability to distill complexity and propose solutions and recommendations.
  • Ability to handle urgent situations with sound judgment and diplomacy and to cultivate meaningful partnerships with stakeholders and peers.
  • Exceptional drafting, proofreading, and research skills.
  • An eye towards optimization, efficiency, and effectiveness.
  • Extremely organized and detail-oriented with ability to prioritize and manage multiple assignments concurrently, pivot when needed, and operate in a fast-paced environment independently.
  • Communicate and collaborate effectively with a diverse range of people and job functions internal and external to the company.
  • Experience driving projects from conception to completion.
  • Proficiency in Adobe Acrobat, Microsoft Suite, and the NYSE Listing Manager.

 

The expected Total Compensation for this role is $140,000.00 - $155,000.00 + annual bonus. Individual compensation decisions are based on a variety of factors.

Vail Resorts offers a ‘Hybrid’ work environment for Broomfield-based roles where employees must live within 50 miles of the Broomfield office and work on-site Tuesday, Wednesday, Thursday and have flexibility to work off-site on Mondays and Fridays.
